Finance Manager, M&A background required (m/f)

Our client is a European-based company headquartered in the Netherlands. We are currently seeking a Finance Manager who will be responsible for setting up the Luxembourg office. This group-level position combines ownership of the group-wide accounting framework with active involvement in supporting the company’s growth strategy through acquisitions.
In this role, the Finance Manager will take ownership of the group accounting structure while also playing a key role in financial analysis, valuations, due diligence processes, and acquisition financing. This is a stand-alone position based in Luxembourg, working closely with finance professionals across Europe, including the headquarters in the Netherlands.

Group Accounting & Governance
• Lead and oversee group-level financial accounting, reporting, and consolidation across multiple international entities.
• Own and continuously improve the group accounting structure, policies, and standards.
• Develop, implement, and maintain the Group Accounting Manual, including policies on asset capitalization, valuation and depreciation, intercompany transactions, revenue recognition, and cost allocation.
• Ensure full compliance with Luxembourg GAAP and provide technical expertise on IFRS.
• Design and maintain a transfer pricing framework in line with OECD guidelines.
• Act as the primary group-level contact for external auditors, accountants, and tax advisors.
• Safeguard consistency, transparency, and high-quality financial reporting throughout the organization.
M&A, Valuation & Financing Support
• Provide active financial support in the group’s M&A activities.
• Prepare company valuations using appropriate methodologies and perform detailed financial analyses of target companies.
• Coordinate and support financial due diligence processes, including the review of historical performance, balance sheet positions, and identification of financial risks and opportunities.
• Support acquisition and growth financing processes by preparing financial models, cash flow projections, and financing documentation.
• Act as key financial contact for banks, lenders, and external advisors.
• Deliver clear financial insights and recommendations to group management during acquisition and financing processes.
Profil
Profile
• Master’s degree in Accounting, Finance, Business Economics, or a related discipline.
• Proven experience in group accounting, consolidation, and/or holding structures, ideally within an international environment.
• Background in a holding organization, accounting firm, audit, or advisory environment is considered an asset.
• Strong technical knowledge of Luxembourg GAAP and solid experience with IFRS.
• Experience with transfer pricing structures and group reporting frameworks.
• Exposure to M&A activities, including valuations, financial modelling, due diligence, and acquisition financing.
• Strong analytical mindset, high level of accuracy, and ability to operate independently at senior level.
• Excellent communication skills and ability to advise management and stakeholders.
• Fluent in English, both written and spoken.
